Upon termination, all outstanding payments must be settled immediately.

These Terms and any disputes arising out of or related to them will be governed by the laws of the State of California, without regard to its conflict of laws principles.

13. Dispute Resolution

• Negotiation: Parties agree to attempt resolution through informal negotiations before pursuing legal remedies.

• Arbitration: If unresolved, disputes will be submitted to binding arbitration in San Jose, California, as per the rules of the American Arbitration Association.
